Australian marketplace Kogan has confirmed the resignation of independent non-executive director James Spenceley from its board of directors. 

Spenceley was appointed to the board in March 2021 and most recently served as the chair of the Remuneration & Nomination Committee and also as a member of the Audit & Risk Management Committee. 

Spenceley is most notable as the founder of Vocus Communications, which he launched in 2007 and scaled to a $25 million listing in 2010. 

In early 2016, he stepped down as CEO. By then, the business had 1,500 staff and was recording revenues of $1.8 billion annually. 

His other current role is as board chair at telecommunications company Swoop.

Spenceley said Kogan is currently in a strong position, and has three new directors recently appointed. The business recently reported a $39 million loss in FY25, despite a $28.4 million lift in revenues from ordinary activities to $488.1 million. 

“Now is an appropriate time for me to step down from the Board to focus on my growing personal and humanitarian interests, which have substantially increased my time outside of Australia,” he said.

Board chair Greg Ridder said Spenceley’s contribution, drawing from his considerable business and entrepreneurial experiences, has been invaluable. 

“As chair of the Remuneration & Nomination Committee, he has been instrumental in our board renewal process, recently overseeing the recruitment of three quality independents NEDs.” 

The resignation of Spenceley is effective immediately.
